**GoX AI Platform License Agreement**  

**Llama 4 Fine-Tuned Model**

**IMPORTANT – READ CAREFULLY**   This License Agreement (“Agreement”) is a
legally binding contract between you (“Licensee” or “you”) and **GoX AI
Platform** (a division of Lambda Go), governing your access to and use of the
GoX AI fine-tuned version of the Llama 4 AI model (“Llama Materials”).

By clicking "Submit", downloading, accessing, or using the Llama Materials,
you acknowledge that you have read, understood, and agreed to be bound by the
terms of this Agreement. If you do not agree, do not access or use the Llama
Materials.

**1. Definitions**

- **“Llama Materials”** means the fine-tuned version of Meta’s Llama 4
foundational model, including model weights, architecture, training/inference
code, fine-tuning code, and any related materials distributed by GoX AI
Platform.

- **“Documentation”** means technical manuals, instructions,
specifications, and guides provided with or relating to the Llama Materials by
GoX AI Platform.

- **“You” or “Licensee”** means the individual or entity
accepting this Agreement and using the Llama Materials.

- **“GoX AI Platform”** means Lambda Go, the organization responsible for distributing andicensing this version of the Llama 4 model.

**2. License Grant**

Subject to your compliance with this Agreement, GoX AI Platform grants you a
limited, non-exclusive, non-transferable, non-sublicensable, royalty-free
license to:

- Use and modify the Llama Materials solely for **non-commercial research** purposes. 

- Publish academic work using outputs from the Llama Materials, provided appropriate attribution is included.

**3. Restrictions**

Except as expressly permitted above, you may **not**:

- Use the Llama Materials or derivative works in any **commercial product,
service, or offering**. 

- Distribute, sublicense, resell, rent, lease, host,
or provide the Llama Materials (or derivatives) to any third party without the permission from GoX AI Platform. 

- Use the Llama Materials to train, fine-tune, or augment models for commercial purposesor third-party consumption. 

- Remove or alter copyright, license, or attribution notices included with the Llama Materials. 

- Use the Llama Materials in violation of applicable laws or GoX AI’s Acceptable Use Policy.

**4. Commercial Use Prohibited**

The Llama Materials licensed herein are for **research purposes only**.  
**Commercial usage is strictly prohibited** under this Agreement.

If you wish to use the fine-tuned Llama 4 model commercially, you must obtain
a **separate commercial license** from GoX AI Platform. Meta's Community
License **does not apply** to this version.

**5. Attribution**

If you publish or publicly present research using the Llama Materials, you
must include the following attribution:

Llama 4 Fine-Tuned Model provided by GoX AI Platform. Licensed for research
use only. Not affiliated with Meta Platforms, Inc.

**6. Ownership**

- All intellectual property rights in the Llama Materials (excluding the base
Meta model) are owned or licensed by GoX AI Platform. 

- Any modifications you
make are your property, but remain subject to this license and must **not be
shared or redistributed**.

**7. Warranty Disclaimer**

The Llama Materials are provided "AS IS" and "WITH ALL FAULTS."   GoX AI
Platform disclaims all warranties, express or implied, including but not
limited to merchantability, fitness for a particular purpose, or
non-infringement.

**8. Limitation of Liability**

To the maximum extent permitted by law, GoX AI Platform shall not be liable
for any direct, indirect, incidental, special, or consequential damages
resulting from the use or inability to use the Llama Materials.

**9. Term and Termination**

This Agreement is effective from the moment you access the Llama Materials and
remains in force until terminated.   GoX AI Platform may terminate this
license immediately upon violation of any term. Upon termination, you must
cease all use and delete all copies of the Llama Materials.

**10. Supersession of Meta Terms**

This license **replaces and overrides** any licenses granted by Meta for the
base Llama 4 model with respect to this fine-tuned version.   The Meta Llama 4
Community License **does not apply**.

**11. Jurisdiction**

This Agreement shall be governed by the laws of the jurisdiction of Lambda
Go’s headquarters, without regard to conflict of law principles.
